Terms of Service

These terms apply to your use of Socialz. By using it, you agree to them.

These Terms are between you and Slizzard Labz LLC, a Delaware limited liability company, which operates the Socialz service.

01What Socialz Is

Socialz is a hosted, multi-user service for clipping video and publishing those clips to social media accounts you connect. You use it over the internet; it runs on servers we operate. It is a tool: you decide what to clip, what to publish, and where to publish it.

02Eligibility

You must be at least 18 years old and able to enter into a binding contract to use Socialz. By creating an account you represent that you meet both requirements. Socialz is not directed to children, and we do not knowingly collect personal information from anyone under 18. If we learn that an account belongs to someone under 18, we will close it and delete the associated data.

03Availability by Region

Socialz is offered only to users located in the United States. We do not offer or market the service to residents of the European Economic Area, the United Kingdom, or any other jurisdiction outside the United States, and you may not use the service from those jurisdictions. We may decline or cancel a subscription that appears to originate outside the United States.

04Your Account

You are responsible for the accuracy of the information you give us, including your email address, and for keeping your password confidential. You are responsible for activity that occurs under your account. Tell us promptly at legal@socialz.fun if you believe your account has been accessed without your permission. We may require you to verify your email address before you can subscribe or reset your password.

05Acceptable Use

You may not use Socialz to: process material you do not have the right to use; infringe any copyright, trademark, privacy or publicity right; process material that is unlawful, that sexually exploits or depicts a minor, or that promotes violence or harassment; gain or attempt to gain unauthorised access to the service, to another user's account, or to the systems behind them; probe, scan or test the vulnerability of the service, or defeat any rate limit, quota or access control; create accounts or submit work by automated means, or beyond the limits of your plan; resell, sublicense or provide the service to third parties as your own; misrepresent your identity or your affiliation with any person or organisation; interfere with the operation of the service or with another user's use of it; or act in violation of any applicable law or of the terms of a third-party platform the service connects to. We may investigate suspected violations and may suspend or terminate accounts under the section on suspension and termination.

06Your Content

You keep ownership of everything you supply to Socialz. So that we can operate the service, you grant Slizzard Labz LLC a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, reformat, transcode, excerpt, create transcripts of, and otherwise process the video, audio, text and other material you supply or direct us to retrieve, and to deliver the resulting output to you and, at your direction, to the third-party platforms you connect. This licence exists only so that we can provide, secure, troubleshoot and improve the service for you. It ends when the material is deleted from the service in accordance with our Privacy Policy, except for copies held in routine backups until those backups expire. We do not use your material to train machine learning models, and we do not sell it or license it to anyone else.

07Feedback

If you send us suggestions, ideas or feedback about Socialz, you grant us an unrestricted, royalty-free, perpetual right to use them without obligation or compensation to you. Please do not send us anything you consider confidential.

08Our Intellectual Property

Socialz, including its software, interface and branding, is owned by Slizzard Labz LLC and protected by intellectual property law. Subject to these Terms and to payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the service for your own purposes. We reserve all rights not expressly granted. You may not copy, modify, reverse engineer or create derivative works from the service or any part of it, except to the extent that restriction is unenforceable under applicable law.

09Third-Party Platforms

Socialz connects to third-party platforms at your direction. Your use of those platforms is governed by their terms, not ours, and we are not responsible for them. In particular, by using Socialz to work with YouTube you also agree to be bound by the YouTube Terms of Service at https://www.youtube.com/t/terms, and you acknowledge that Google's Privacy Policy at https://policies.google.com/privacy applies to information Google receives. Socialz's use of information received from Google APIs adheres to the Google API Services User Data Policy, including its Limited Use requirements. You may revoke Socialz's access to your Google account at any time at https://myaccount.google.com/permissions. A third-party platform may change or withdraw its interface at any time, which may change or end that part of the service.

10Rights in the Content You Publish

You are responsible for having the rights to every clip you create and publish through Socialz — whether you created the source material yourself or were cleared to use it by the rights holder. Before each post, you confirm you are authorized to publish that clip.

Publishing content you have not been cleared to use can lead to takedowns and copyright strikes, and can get your account on the destination platform demonetized, suspended, or banned. Those decisions are made by that platform, not by us.

Socialz processes video that you supply or that you direct us to retrieve, and you are responsible for holding the rights to that material. If you believe material processed through Socialz infringes your copyright, send a notice to legal@socialz.fun that includes your signature, whether physical or electronic; identification of the copyrighted work you say has been infringed; identification of the material and enough detail about where it is for us to locate it; your contact information; a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf. We review notices promptly and remove or disable access to material we determine to be infringing. If you believe material was removed in error you may send a counter-notice to the same address. We terminate the accounts of users who repeatedly infringe the copyrights of others.

11Connected Accounts

When you connect a social media account, you authorize Socialz to publish to it on your behalf, and only when you ask it to. You can disconnect an account at any time, which removes the stored credentials for it. Your use of each connected platform remains subject to that platform's own terms.

12Payment

Socialz costs $9.99 per month. Your subscription renews automatically each month at that price until you cancel, and we charge the payment method you provide through our payment processor, Stripe. Prices are in United States dollars and do not include any taxes that may apply; where we are required to collect tax, it is added at checkout. You may cancel at any time from your account settings. Cancellation takes effect at the end of the billing period you have already paid for, and you keep access until then. We do not provide refunds or credits for partial billing periods, except where a refund is required by law or where we terminate your paid account for a reason other than your breach. If a payment fails we may retry it and may suspend your access until payment succeeds. We may change the price, and if we do we will give you at least thirty days' notice by email before the change takes effect; the new price applies to billing periods beginning after that notice, and you may cancel before then if you do not accept it.

13Availability, Suspension and Termination

Features may change, and destinations we support may be added or withdrawn. The service is provided as it is, without a guarantee of uninterrupted availability.

Socialz is provided on an "as available" basis. We do not commit to a specific uptime percentage, and we may change, suspend or discontinue any part of the service. We may suspend or terminate your account if you breach these Terms, if your use threatens the security, stability or lawful operation of the service, if we are required to do so by law or by a third-party platform whose interface we rely on, or if a payment fails and remains unpaid. Except where an immediate suspension is necessary to protect the service, its users, or a third party, we will give you at least seven days' notice by email before terminating a paid account. You may cancel at any time. If we terminate a paid account for a reason other than your breach, we will refund the unused portion of the billing period you have paid for. You may download your clips at any time before termination; after termination your data is deleted in accordance with our Privacy Policy.

14Disclaimer of Warranties

The Socialz service is provided "as is" and "as available." To the maximum extent permitted by law, Slizzard Labz LLC disclaims all warranties, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, timely, secure or error-free, that any defect will be corrected, or that the clips, transcripts or other output the service produces will be accurate, complete or suitable for any particular purpose. Some jurisdictions do not allow the exclusion of implied warranties, so some of these exclusions may not apply to you.

15Indemnification

You will defend, indemnify and hold harmless Slizzard Labz LLC and its officers, employees and contractors from and against any claim, demand, loss, liability, damage, cost or expense, including reasonable attorneys' fees, arising out of or relating to the video, audio, text or other material you supply to the service or direct the service to retrieve; your use of the service in violation of these Terms or of any applicable law; or your violation of the rights of any third party, including any intellectual property or privacy right. We will notify you of any claim for which we seek indemnification and will cooperate reasonably in the defense at your expense. You may not settle any claim in a way that imposes an obligation or an admission on us without our prior written consent.

16Limitation of Liability

To the maximum extent permitted by law, neither party is liable to the other for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any lost profits, lost revenue, or lost or corrupted data, arising out of or relating to these Terms or the Socialz service, whether the claim is brought in contract, tort or any other theory, and whether or not the party was advised of the possibility of those damages.

To the maximum extent permitted by law, the total aggregate liability of Slizzard Labz LLC arising out of or relating to these Terms or the Socialz service will not exceed the greater of one hundred United States dollars or the total amount you paid us in the twelve months immediately before the event giving rise to the claim. Nothing in this section limits liability that cannot be limited or excluded under applicable law.

17Changes to These Terms

We may change these Terms. If a change is material, we will give you at least thirty days' notice by email to the address on your account and post the updated Terms with a new effective date before the change takes effect. Changes that are not material take effect when posted. If you do not accept a change, your remedy is to cancel your subscription and stop using the service before the change takes effect. Continuing to use Socialz after a change takes effect means you accept the updated Terms.

18Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You and Slizzard Labz LLC agree that any dispute arising out of or relating to these Terms or the Socialz service will be brought exclusively in the state or federal courts located in Delaware, and both parties consent to personal jurisdiction and venue there. Nothing in this section prevents either party from bringing an individual claim in small claims court.

19Assignment

You may not assign or transfer these Terms or your account without our prior written consent, and any attempt to do so is void. We may assign these Terms without restriction, including to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of our assets. These Terms bind and benefit the parties and their permitted successors and assigns.

20Severability

If any provision of these Terms is held unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

21Entire agreement

These Terms, together with our Privacy Policy, are the entire agreement between you and Slizzard Labz LLC about the Socialz service, and they replace any earlier agreement or understanding on that subject.

22No waiver

If we do not enforce a provision of these Terms, that is not a waiver of our right to enforce it later. A waiver is effective only if it is in writing and signed by us.

23Force majeure

We are not liable for any failure or delay in performing caused by circumstances beyond our reasonable control, including acts of God, natural disaster, war, terrorism, civil unrest, labour dispute, government action, power or internet failure, denial-of-service attack, or the failure, change or withdrawal of a third-party service or platform on which the service depends.

24Survival

The sections covering your content licence, feedback, our intellectual property, payment obligations already incurred, the disclaimer of warranties, indemnification, limitation of liability, governing law, and these general provisions survive the termination of your account or of these Terms.
